LICENCE AGREEMENT

This licence agreement governs the granting of location licences
for the use of software provided by Image Intelligence Ltd.

1. LICENCE FOR "ONE-SITE" USE. All licences are "one-site" licences
unless otherwise agreed in the purchase agreement. The copy of the
software obtained under this licence agreement is restricted to use 
(i) by one legal person only, and (ii) on one server only, and 
(iii) on one web site only. The web site at which the copy of the 
software may be used may only be that site agreed by the licensee 
and Image Intelligence Ltd. "Use" here means integration of the 
software into HTML or similar documents (web design). A "web site" 
is defined as having a single public entry address.

2. LICENCE VARIATIONS. All parts of this agreement not explicitly 
changed by an additional agreement remain valid. Additional 
agreements varying or adding to this licence agreement (e.g. 
agreements allowing multi-site use, multi-server use, agency, 
CD-ROM use, limited redistribution) are only valid if and as 
expressly and formally stated by Image Intelligence Ltd. 

3. MULTI-LOCATION LICENCES. If a multi-location licence (e.g.
server-related, multi-site, CD-ROM) is agreed at the time of
purchase, the following additional conditions apply. (a) If
certain locations are left unspecified at the time of purchase,
Image Intelligence Ltd. reserves the right to decline the 
later issue of an applet for certain locations, or to require
more detailed specification of a location. (b) The licensee is
required to inform Image Intelligence Ltd. fully as regards
the number of sites on a server which are using the software.

4. AGENCY. If a copy of the software is purchased for a third
party (e.g. by a web design company working for independent
clients), the following additional conditions apply. (a) Both
immediate purchaser and final licensee are regarded as 
co-licencees. (b) Each licencee must agree to the licence
agreement before any copy of the software is transferred to
them; the immediate purchaser is responsible for ensuring
that such agreement is made. (c) The intended third party
and final software location must be named at the time of 
purchase.

5. LIABILITY EXCLUSION. The author and copyright holders
of this software shall not be liable for any damages whatsoever 
(including, without limitation, damages for loss of business 
profits, business interruption, loss of business information, or 
other pecuniary, intellectual or personal loss) suffered by anyone 
as a result of using (where "use" includes, but is not limited to, both 
designing a web site and visiting a web site where the software is in 
use), modifying or distributing this software. No guarantee
or representation, either express of implied, is made about the
software's suitability for any purpose. Java is a developing
language - you use this software entirely at your own risk.

6. GUARANTEE. All software is provided by us "as-is" and without 
any kind of guarantee. Purchasers are expressly reminded that no
java applet works 100% of the time.

7. COPYRIGHT. Copyright and ownership of the software subsists with 
Image Intelligence Ltd., Herefordshire, England. In purchasing a 
licence for one-site use as defined above the licensee obtains a 
licence limited to using a copy of the software in the fashion 
described in the documentation available on our website. The licensee 
may not rent, lease, redistribute or resell the software or any copy 
of it, save as explicitly agreed according to section 2 above. The 
licensee may not modify, reverse engineer, decompile or disassemble 
the software, the programme code or any part of it, or allow any such 
activity on the part of any third party. 

8. BREACH OF LICENCE AGREEMENT. If any part of this agreement is broken
by the licensee, the licence is revoked, the software and any copies 
possessed by the licensee must be destroyed, and all outstanding 
contractual obligations of Image Intelligence Ltd. towards the licensee 
are cancelled without refund of any money paid by the licensee. This does
not exclude further criminal or civil proceedings against the licensee.

9. JURISDICTION. The conditions of the granting of location licences 
under this agreement are covered by the laws of the United Kingdom 
and in particular by the Copyright, Designs and Patent Act 1988 and
Schedule 5 paragraph 1 of the (United Kingdom) Value Added Tax Act,
Image Intelligence Ltd being a company established, registered and 
trading from the United Kingdom. The place of supply of the sale of 
such licences, and the place of their sale, is as defined by the latter
act.
